Every purchaser is deemed to have taken cognizance of, to accept, and to comply with, the following general terms and conditions of sale:
 
1° Orders
The orders received are definitive only after our acceptance thereof.
Any disputes on the part of the customer are unconditionally subject to these « general terms and conditions», which supersede any other verbal or written agreement.  The acceptance of an order renders the sale definitive.  Any cancellation by the customer for a reason other than force majeure results in full billing for the order.
 
2° Delivery – Transfer of risks
The terms for delivery of merchandise are specified upon confirmation of the order.
However, the merchandise travels at the addressee’s risk and peril.  Upon receipt of the merchandise, if  defects are observed or items are missing, it is up to the addressee to express any necessary reservations to the carrier.  It is also up to the addressee to confirm any such reservations by extra judicial document or by registered letter with an acknowledgement of receipt to the carrier within three days of receipt of the merchandise.
If the customer accepts delivery without reservation, the delivery is assumed to be in conformity, with the customer waiving the right to any recourse.
No merchandise shall be returned without our agreement.
 
3° Delivery schedules
The delivery schedules are provided to the customer solely as an indication.
The customer does not have the right to cancel the order or refuse the merchandise due to any tardiness that might occur.
The customer does not have the right to claim damages with respect to any tardiness that might occur, provided that it is not voluntary.
 
4° Force majeure
In the event of an absence or tardiness of delivery due to force majeure (strike, fire, flood, accident, etc.), the sale shall, as a matter of absolute right, be cancelled without the payment of any damages.
 
5° Complaints
Optical phenomena may be observed after a change in the velvet’s orientation, which are related to a natural uncertainty of behaviour.  They do not constitute a defect affecting the product or a reason for cancellation of the sale, since they do not affect the duration of use or the intrinsic and functional qualities of carpets, and do not render them unsuited for use.
Also, no complaint will be accepted in the following cases:
- Damage due to accidents, fires, explosions or floods, or negligence during transport,  warehousing or handling before or after the installation (any accident engaging the liability of a third party)
- Improper conditions of use, particularly installation on heating floors whose temperature is over 40%, and outdoor use
- Deteriorations due to abrasive or cutting objects, chemical products, colorants or burns
- Shading phenomena inherent in all cut velvet carpets
- Any damage caused by incorrect laying of floors, defective installation, objects or agents exterior to the premises, furniture or materials unprotected or unsuited to the surface, absence of maintenance, or inappropriate maintenance considering the traffic involved.  
 
6° Prices
Our prices are firm and definitive when delivery is made within 30 days.
However, our prices may vary if the delivery time exceeds 30 days for any reason whatsoever.  In that event and if the price increases, the customer has the right to cancel his order.
Our prices are billed on the basis of the tariff in effect on the date of delivery.
 
7° Terms of payment
Our invoices are due and payable within 30 days, without discount, unless otherwise agreed to in writing by Balsan.  The payment of an instalment by the customer does not give rise to any discount.
Full payment upon placement of the order shall be required of any customer who is not covered by credit insurance.
In the event of drawing of drafts on agreed dates, they must be accepted on or before receipt of the merchandise.
 
8° Sanction – penalty – event of default
Any tardy payment without our prior authorisation gives us the right to suspend or cancel the orders in process, without prejudice to any recourse.
We also reserve the right to charge default interest equal to, or twice the amount of, the legal interest in effect on the date of issue of the invoice.
In addition to default interest that the customer is charged, we reserve the right to obtain damages equal to 15% of the outstanding amount, all taxes included, with a minimum of 38 euros, without prejudice to possible judicial remedies and recovery of costs related thereto.
Failure to pay a bill on its due date entails an event of default for all of the other outstanding amounts, without the need for prior notice.
The same applies to refusal of drafts or any other type of papers..
  
9° Deterioration in the customer’s situation
If the purchaser’s credit deteriorates, even after partial shipment of an order, we reserve the right to require the purchaser to provide guarantees that we deem appropriate for proper execution of the commitments that were made.  If the purchaser refuses to do so, we reserve the right to cancel all or any part of the contract.
  
10° Cancellation as a matter of absolute right
If the purchaser fails to pay the price on the agreed due date or within eight days after a first notice to do so has gone unheeded, the sale shall, as a matter of absolute right, be cancelled unless otherwise decided by Balsan.
This provision shall apply whenever Balsan so decides, without prejudice to the effects of the reservation of ownership or those of the aforesaid provisions regarding the event of default, the contractual right to damages and the payment of default interest, all of which are independent of the legal and financial consequences of any legal action.
 
11° Industrial property:
All drawings, models or marks of Balsan are exclusively its property.  Therefore, the reproduction or use without prior authorisation of all or any part of our models or marks is strictly prohibited.  Special manufacturing is subject to a specific agreement between the seller and the purchaser.
 
12° Jurisdiction
Any disputes that might arise regarding this contract or its consequences shall be submitted exclusively to the Commercial Court sitting in the area of our registered office, even in the event of a multiplicity of defendants or a motion, even interlocutory, for joining proceedings or for enforcement of a guarantee.
 
RESERVATION OF OWNERSHIP
The transfer of ownership of the sold merchandise is expressly subject to full payment of the price even if the sales are concluded « ex-factory ».
We thus reserve the right to invoke, whenever necessary, application of the provisions of law regarding the reservation of ownership for the seller.

The BALSAN image bank contains digital documents intended for the press and communication agencies. Users with an access code will find:
1° logos and elements associated with the BALSAN Company, 
2° photographs of settings evoking each BALSAN product,
3° photographs of each colour of each BALSAN product in 2 different formats: 
         - 5cm X 5cm: for an overall glimpse of the structure,
         - 30cm X 30cm: for a better view of the design of the printed carpets,
4° the PDFs of brochures and leaflets

These documents are available in 3 different formats for 3 distinct types of uses: 
- 300dpi : use for offset prints of  commercial or advertising documents (high resolution),
- 150dpi : use for graphic models of the communication agencies and samplers (average resolution), 
- 72dpi : use for the Web for advertising on websites linked to the carpet industry or for any other digital presentation (low resolution).
Easy to handle, this makes it possible for the user in a few seconds to find what he needs from among thousands of images.

You can also access all the background photos and colours of a product via the Products Catalogue.
Choose the desired product and access the full description of the product.
Click on the background photos or the colour photos and download the photo(s) in the desired image definition.

The use of these visuals on communication media (booklets, website…) is limited to professional use in its contents and its duration. Thus, these visuals can be used only on media related to the textile floor industry and only during the time of the business relationship between Balsan and the customer/supplier. BALSAN reserves the right to refuse the use of visuals if the company using them or if the distribution media used by the company is prejudicial to the BALSAN image.
